Terms and Conditions

1. Agreement to these Terms

These Terms and Conditions ("Terms") are a binding agreement between Net-90 ("Net-90," "we," "us") and the company or person accessing the Service ("Customer," "you"). By creating an account, clicking to accept, or using the Service, you accept these Terms and our Privacy Policy, which is incorporated by reference. If you use the Service on behalf of a company, you represent that you have authority to bind that company.

2. The Service

Net-90 provides a construction management platform — projects, draws and pay applications, bids and estimates, billing, banking visibility, communications, and related features (the "Service"). We may add, change, or remove features at any time. The Service is intended for business use by persons 18 or older; it is not for consumers.

3. Accounts

You are responsible for your account credentials, for all activity under your account, and for ensuring your users comply with these Terms. You must provide accurate information and keep it current. We may suspend or terminate accounts that violate these Terms.

4. Subscription, fees, and taxes

• The Service is offered at a flat monthly subscription fee, billed in advance. Prices may change with at least 30 days' notice; changes apply at your next billing cycle.
• Fees are non-refundable except where required by law. You may cancel at any time, effective at the end of the current billing period.
• You are responsible for applicable taxes, other than taxes on our income.
• If payment fails, we may suspend the Service after notice.

5. Customer Content and license to Net-90

"Customer Content" means the data, documents, and materials you or your users submit to the Service. As between you and Net-90, you own your Customer Content.

You grant Net-90 a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, process, analyze, transmit, display, and create derivative works of Customer Content: (a) to provide, secure, and support the Service; (b) to develop, improve, and train the Service and our models, analytics, and algorithms; (c) to create aggregated, anonymized, or de-identified data and insights, which we may use, license, and commercialize for any lawful purpose during and after the term of this agreement; and (d) as otherwise described in our Privacy Policy. This license survives termination with respect to (b) and (c) and with respect to copies retained in routine backups.

You represent that you have all rights necessary to submit the Customer Content and to grant this license, including any consents required from your employees, clients, subcontractors, and vendors whose information appears in it.

6. Platform access and administration

You acknowledge that Net-90 and its authorized personnel may access your account and Customer Content to operate, maintain, and improve the Service, provide support, investigate abuse or security issues, enforce these Terms, and comply with law, consistent with our Privacy Policy.

7. Third-party services

• Plaid: bank connections are provided by Plaid Inc. By connecting an account, you grant Net-90 and Plaid the right to access information from your financial institutions as described in the Plaid End User Privacy Policy. Net-90 has read-only visibility into connected accounts and does not initiate money movement.
• Email and calendar: if you connect a mailbox or calendar, you authorize Net-90 to access and process it to provide those features.
• Third-party services are governed by their own terms, and we are not responsible for them.

8. AI features

The Service includes AI-assisted features that may generate drafts, summaries, and analyses. AI output can be inaccurate or incomplete. You are responsible for reviewing all output before relying on it. AI output is not legal, accounting, tax, or professional advice.

9. Professional responsibility

Net-90 provides software, not construction, legal, accounting, or lending services. You are solely responsible for the accuracy and legal sufficiency of your pay applications, AIA forms, lien waivers, notices, tax filings, and other documents generated with the Service, and for compliance with the laws, deadlines, and contract requirements that apply to your business.

10. Acceptable use

• No unlawful, infringing, or fraudulent use;
• No reverse engineering, scraping, or benchmarking for a competing product;
• No reselling or sublicensing the Service without our written consent;
• No interfering with the integrity or performance of the Service;
• No uploading malicious code or content you lack rights to.

11. Intellectual property

Net-90 and its licensors own the Service, including all software, designs, templates, models, and trademarks. Except for the limited right to use the Service under these Terms, no rights are granted to you. Feedback you provide may be used by us without restriction or compensation.

12. Confidentiality

Each party will protect the other's non-public information with reasonable care and use it only as permitted by these Terms. This does not limit our rights in Section 5 or under the Privacy Policy.

13. Term, suspension, and termination

These Terms apply while you use the Service. You may cancel at any time. We may suspend or terminate your access immediately for breach, non-payment, legal risk, or abuse. Upon termination, your right to use the Service ends; you may export your Customer Content for 30 days after termination, after which we may delete it, subject to our retention practices and surviving license rights.

14. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NET-90 DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DATA (INCLUDING BANKING DATA SUPPLIED BY THIRD PARTIES) WILL BE ACCURATE OR COMPLETE.

15. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) NET-90 WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY; AND (B) NET-90'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNTS YOU PAID TO NET-90 IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

16. Indemnification

You will defend, indemnify, and hold harmless Net-90 and its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable attorneys' fees) arising from your Customer Content, your use of the Service, your violation of these Terms, or your violation of law or third-party rights.

17. Governing law; arbitration; class waiver

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration in Reno, Nevada, administered by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in court for intellectual-property or confidentiality violations. Both parties waive any right to a jury trial and to participate in a class action. Any claim must be brought within one (1) year after it accrues.

18. Changes to these Terms

We may update these Terms from time to time. We will post the updated version with a new effective date and, for material changes, provide notice through the Service or by email. Continued use after changes take effect constitutes acceptance.

19. General

These Terms and the Privacy Policy are the entire agreement between the parties regarding the Service. If any provision is unenforceable, the remainder stays in effect. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver. Notices to you may be given through the Service or by email.
